Do virtual machines that are used only for VSA proxying consume licenses?

To answer your first question would need to know which virtual machine license you are talking about VOI or Virtual Machine.
For your second question.
Virtual machines being used as proxies are going to consume a license cause you would need to install a Virtual Server agent on those VM's.
