To remove te compliance lock I already know. 
If you have deconfigured client 11:28 with still backup data attached, you cannot upgrade to 11:40.
Deconfigured clients with no backup history is no problem.
If the data has an compliance lock you need to disable the compliance lock before deleting the data.
A simple upgrade to 11:40 can takes more time this way.
